Terms of Use.

Signed agreements

If your organization has a signed agreement with us, that agreement controls where it differs from these terms.

Accounts

• You must be at least 18 and able to form a binding contract to use the service.
• Keep your sign-in, API keys and tokens secure. You are responsible for activity under your account and keys, and for telling us promptly at support@sikaru.ai if they are compromised.
• Organization admins control members, projects, keys, connections, spend limits and agent top-ups.

Agents acting for you

You can let an AI agent sign you up, sign in, add credits and use the service for you. You approve each sign-in and payment yourself. What an agent does with access you granted is your responsibility, just as if you had done it. Review what an agent will publish or change before you approve it.

Credits and payment

• The service is prepaid. You buy credits, and usage draws from your organization's balance at the prices shown in the platform, CLI and API when the usage occurs. Work stops when credits run out.
• Prices are in US dollars and exclude taxes, which you pay where they apply.
• Credits are not cash, cannot be transferred between organizations, and are not refundable except where the law requires.
• When auto-reload is on, you authorize us to charge your saved card the amount you set whenever your balance falls below your threshold. You can turn it off at any time.
• Promotional credits, such as the starting credit, have no cash value. The starting credit does not expire.
• We may change prices for future usage. Changes apply from when they are posted and do not affect usage already charged.

Your content and outputs

• You keep ownership of what you send to the service (inputs, agent documents, files, traces and datasets) and of the outputs the service produces for you.
• You give us permission to host, copy, process and transmit your content only as needed to provide, secure and support the service for you, and to improve your own agents, models, inference and infrastructure. We do not use it to train models or improve agents for other customers. Our Privacy Policy explains how we handle personal information.
• You confirm you have the rights and permissions needed for the content you send, including any personal information in it.
• Model outputs can be inaccurate. Check them before relying on them, especially for decisions that affect people.

Acceptable use

Do not use the service to:

• break the law, infringe others' rights, or harm, harass or deceive people;
• build malware, attack systems, or access accounts, data or systems without permission;
• send spam or run fraud, including payment fraud;
• produce child sexual abuse material or other content that exploits minors;
• get around usage limits, spending controls or security measures, or overload the service;
• scrape or copy the service, or reverse engineer it except where the law allows;
• resell the service without our written permission, or misrepresent your identity or affiliation.

You are also responsible for following the terms of the apps, MCP servers and other services you connect.

Third-party services

The service connects to models, apps and tools run by others. Their availability and behavior are outside our control, and your use of them may be subject to their terms.

Our property and feedback

We and our licensors own the service, including its software, harness, optimizations, documentation and trademarks. The published SDKs and CLI are licensed under the licenses in their repositories. If you send us feedback, we may use it without restriction or payment.

Changes, suspension and termination

• We may add, change or remove features. Where a change materially reduces the service you pay for, we will give reasonable notice where we can.
• We may suspend or limit access to protect the service, other users or the public, or if you break these terms or do not pay. Where reasonable, we will tell you why and give you a chance to fix it.
• You can stop using the service and delete your account at any time. We may end these terms with notice for any reason, or immediately for a serious breach.
• After termination, we delete your content as described in the Privacy Policy. Sections that by their nature should survive, such as payment, ownership, disclaimers, liability and disputes, survive.

Disclaimers

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the service or its outputs will be accurate, uninterrupted or error-free.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service, in aggregate, is limited to US $50. These limits do not apply to your payment obligations or to your indemnity below.

Indemnity

You will defend and indemnify Aadi Labs, Inc. against third-party claims, and the resulting losses and costs, arising from your content, your use of the service or connected services, or your breach of these terms or the law.

Disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The state and federal courts located in California have exclusive jurisdiction, and both parties consent to their personal jurisdiction and venue. Any claim must be brought within one year after it arises.

General

• These terms and the Privacy Policy are the entire agreement between us about the service, unless a signed agreement says otherwise.
• If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver.
• You may not assign these terms without our consent; we may assign them in a merger, acquisition or sale of assets.
• We may update these terms at any time. Changes take effect when posted here with a new date, and continuing to use the service afterwards means you accept them.
• We may send notices by email or in the platform. Send notices to us at support@sikaru.ai or by mail to Aadi Labs, Inc., 1111b South Governors Avenue, STE 39783, Dover, DE 19904, United States.
• We operate the service from the United States and make no claim that it is appropriate elsewhere. If you use it from another country, you are responsible for following local law.
